Section 99
Accountability and responsibility of the directors
: (1) The director of the company shall not take personal advantage through the company or in the course of the company's work.
(2) If a director has taken personal advantage in the course of the company's business contrary to sub-section (1), the company shall recover such amount as a loan from such director.
(3) After a person is appointed as a director of a public company, he must take an oath of secrecy and honesty in the prescribed format before assuming his duties.
(4) Every director and officer of the company, while performing their official duties, shall act honestly and with good intentions, keeping in mind the interests and interests of the company, and shall use caution, caution, intelligence, skill and efficiency as a person with common sense and knowledge.
(5) In violation of sub-section (4), the company may recover compensation for the loss caused to the company from the director who acts in a way that causes loss to the company by defamation.
(6) It shall be the duty of every director to comply with the provisions of this Act, the Company's Articles of Association, Regulations and the unanimous agreement.
